Video Production Service Agreement Terms by W Visual Studio
These terms and conditions (the "Agreement") are entered into by and between wvisualstudio Company (referred to as "W Visual Studio" or "Company") and [Client's Full Legal Name] (referred to as "Client").
Project Overview:
1.1 Description: W Visual Studio agrees to provide video production services to the Client, including but not limited to the services outlined in the project overview.
1.2 Terms and Conditions: The prices and services listed in this quotation are based on the current understanding and negotiation. Both parties agree to abide by the following terms and conditions.
2. Fee Structure:
2.1 Deposit Payment A 30% deposit is required before the project commencement,
2.2 Final Payment: The final payment is due within 30 days of project completion. Once the deposit is paid, it is non-refundable 2.3 Additional Charges: Any additional charges, including but not limited to special effects, equipment rental, and external services, will be discussed and confirmed with the Client before incurring.
2.4 Late Payment Fee: A late payment fee of 1% of the total contract cost will be charged for any final payment not made by the due date.
3. Copyright and Usage Rights:
3.1 Copyright Ownership: All copyrights arising from the project shall be owned by the production company unless otherwise specified in writing
3.2 Music Copyright Fees: The music copyright fees for the usage of music in the film are not included in the shooting and post-production fees.The client is responsible for obtaining the necessary music copyrights and paying the related licensing fees.
3.3 License to Use: The production company grants the client a non-exclusive license to use the project work within the scope specified in the contract.
3.4 Scope of Use: The client may only use the project work for commercial purposes and is subject to limitations on use as stipulated in the contract.
3.5 Modification and Derivative Works: Without written permission from the production company, the client may not modify, edit, or create derivative works based on the project work.
3.6 Independent Projects: The client may not use the project work for independent projects without obtaining additional permission from the production company.
3.7 Copyright Notice: When using the project work, the client shall include a notice provided by the production company indicating copyright information in a prominent location.
4. Legal Terms:
4.1 Compliance with Laws: The production company and the client agree to comply with all applicable national and regional laws, regulations, and statutes.
5. Video Revision Limitation:
5.1 Revision: During the video production process, we offer a limited number of revision services. Revisions include making minor changes, adjustments, and revisions to the completed video, such as color correction, sound adjustments, and subtitle updates. Please note that a complete re-edit (restructuring the entire video) is not included in the revision count and would involve significant changes to the overall content and structure of the video.
5.2 Delivery Time: The final completed video will be delivered within X days after the contract signing. The delivery time will be determined based on the project's requirements, including filming, post-production, and review processes.We will maintain open communication, keeping you informed of any changes or delays that may impact the delivery time.
6.1 Liability of the Production Company:
6.1.1 Quality Assurance: The production company will provide services professionally and to high standards, ensuring the final product meets the standards agreed upon in the contract.
6.1.2 Technical Issues: In the event that any part of the project fails to meet the specifications outlined in the contract due to technical issues on the part of the production company, the production company will be responsible for rectifying or providing a reasonable solution.
6.2 Client's Responsibility:
6.2.1 Accurate Information: The client is responsible for providing accurate, complete, and timely project information, including but not limited to scripts, images, audio, and other necessary materials.
6.2.2 Change Requests: Any requests for changes to the project must be submitted in writing. The production company will assess the impact of changes on the schedule and cost, making adjustments with mutual agreement.
6.3 Compensation:
6.3.1 Limitation of Liability: The production company shall not be liable for any loss or damage arising from the performance of this contract unless such loss or damage results from the intentional or gross negligence of the production company.
6.3.2 Third-Party Claims: The client agrees to indemnify and hold the production company harmless for any third-party claims arising from materials provided by the client and any claims resulting from the client's failure to fulfill its responsibilities, compensating the production company for all related costs and losses.
6.3.3 Technical Issues: The production company will be responsible for addressing issues caused by its technical problems. However, the client will be responsible for associated costs arising from inaccurate or incomplete information provided by the client.
6.4 Compensation Limits:
6.4.1 Maximum Compensation: Unless otherwise agreed, the production company's total liability for damages arising from a breach of contract shall not exceed the total contract value.
6.4.2 Indirect Losses: Both parties agree that, in no event, shall they be liable for any indirect, consequential, special, or incidental damages arising from a breach of contract.
6.5 Dispute Resolution:
6.5.1 Negotiation: Both parties agree to initially attempt to resolve any disputes amicably through friendly negotiation.
6.5.2 Legal Jurisdiction: If resolution cannot be reached through negotiation, either party has the right to initiate legal proceedings in the courts of the jurisdiction where the contract was signed.
7. Changes and Cancellations:
7.1 Change Requests: Clients may submit change requests, and any changes may affect costs and timelines.
7.2 Cancellation Policy: Canceling the project after initiation will incur cancellation fees, with specific costs determined based on project progress.
8. Confidentiality:
8.1 Non-Disclosure Agreement: Both parties agree to maintain the confidentiality of project-related information and not disclose it without written consent.
8.2 Confidentiality Obligation: Party A and Party B shall treat received information from the other party with strict confidentiality and use it only for the purposes of the collaborative project.
8.3 Restriction on Disclosure: Both parties agree not to disclose the other party's business confidential information to third parties unless prior written permission is obtained.
8.4 Confidentiality Period: The confidentiality obligation shall remain effective during the collaboration and after the project's completion until the information no longer constitutes a business secret.
8.5 Disclaimer: The confidentiality obligation in this agreement does not apply to circumstances where the information is already public knowledge or is obtained by a third party without a violation of this agreement.
8.6 Breach Liability: The party violating the confidentiality obligation shall be legally responsible for any losses resulting from such a breach.
